BYLAWS
ARTICE 1 – NAME AND PURPOSE
SECTION 1: The name of this organization is the Nashwauk Area Chamber of Commerce, also known as the NACC.
SECTION 2: The mission of the NACC is to encourage the efforts of the business community in the growth of the current and future new businesses; to encourage the residents of the Nashwauk area to “buy local”; and to support civic, social, and cultural programs designed to increase the functional and aesthetic values of Nashwauk and its surrounding areas.
SECTION 3: The NACC is a nonprofit organization
SECTION 4: The NACC is nonpartisan, nonsectarian and will not endorse any political candidate.
ARTICE 2 - MEMBERSHIP
SECTION 1: Any individual, business, government, or nonprofit organization having an interest in the objectives of this organization shall be eligible for membership in the NACC.
SECTION 2: The classes of membership are:
- Individual: any individual representing only oneself, not a business- Sole Proprietor: unincorporated with one owner- Business: any business, association, corporation, or estate,- Non-profit: any church or other non-profit association or corporation.- Government: any city with interest in the Nashwauk Area
A business, government or non-profit organization must assign a designated representative who holds the voting rights for the membership. The members listed will be the party to receive all NACC official correspondence.
SECTION 3: Membership in the NACC is accomplished by filling out the appropriate application form and submitting the application form together with the appropriate fee for member level. Membership indicates the applicant’s (a) support and interest in the purpose of the NACC, and (b) acceptance of the NACC bylaws, rules and regulations.
SECTION 4: Any business member who pays one membership fee for more than one business is entitled to cast only one vote, however any business member who pays for more than one membership is entitled to cast one vote for each such paid membership.
SECTION 5: Voting: Each voting member in good standing shall be entitled to one vote. Good standing is defined as a current paid membership.
SECTION 6: Following written notification, members may be expelled by the Board of Directors with just cause. No member may be expelled without the opportunity of a hearing before the board of directors. A three-fourths vote of all Directors present is necessary to expel a member. An expelled member will have the right to appeal against the decisions of the board of Directors with a written request, these requests will only be reviewed at annual meetings and a decision will be made at that time.
ARTICE 3 – DUES
SECTION 1: Membership dues shall be voted on at the annual meeting and will be decided on by the board of Directors.
SECTION 2: Each member will pay the established membership dues annually by February 15th. Dues not paid by April 1st will result in forfeiture of membership.
ARTICE 4 – BOARD OF DIRECTORS
SECTION 1: The responsibility for the government, legal matters, and financial solvency of the NACC and the direction of its work are vested in the board of directors, consisting of the President, Vice president, Treasurer and Secretary.
ROLES AND RESPONSIBITIES OF THE BOARD OF DIRECTORS:
PRESIDENT: preside at all meetings of the NACC and perform all duties incident to this office
VICE-PRESIDENT: will act in the absence of the President or Treasurer in the absence of either.
TREASURER: will receive and disburse the funds of the NACC, maintain and issue bills and dues statements on behalf of the NACC, keep accounting records and books of all income and disbursements made by the NACC and arrange annual audit. The Treasurer may be asked to perform other duties related to NACC business not listed above.
SECRETARY: maintain the official list of current members, preserve all documents and communications, maintain accurate records of all proceedings of the NACC meetings. The secretary will keep and publish the minutes of all meetings. The secretary may be asked to perform other duties related to NACC business not listed above.
SECTION 2: Any member of the Board of Directors may be terminated from their position with just cause and voted on by the remaining Board of Directors.
SECTION 3: Annual meeting will take place in November of each year at which time a New Board of Directors will be voted on. Nominations must be given to the Board of Directors by the October meeting. The Secretary will mail a copy of the ballot for Board positions to all members of the NACC at least 20 days prior to the ballot return deadline.
SECTION 4: The Board of Directors will act as or appoint a three-person nomination committee. This committee will announce the newly elected officials.
SECTION 5: Terms for each position will be 2 consecutive years. (Odd years are President and Treasurer, even years are Vice-President and Secretary)
SECTION 6: Newly elected officers will take responsibility at the January meeting; it is recommended they come to the December meeting.
ARTICLE 5 – COMMITTEES
SECTION 1: Any Event sponsored by or hosted by the NACC will be run by a committee.
SECTION 2: Each Committee will have an Officer from the board as head Chair. This officer may appoint a co-chair.
SECTION 3: All Event/committee correspondence will be directed by the NACC committee head chair.
ARTICE 6 – MEETINGS
SECTION 1: The regular monthly meeting of the Board of Directors and members will be held at the time and place asestablished by the Board of Directors. The Secretary will inform the members via the public platform of any meeting changes.
SECTION 2: The Annual General Meeting of the Board of Directors will be held in November of each year.
SECTION 3: A quorum at any meeting of the Board of Directors is a simple majority of two-thirds of the duly elected and installed officers.
ARTICLE 7 – FINANCIALS
SECTION 1: Any disbursements over $500.00 needs approval of two board members.
SECTION 1: Annual audits will be done bi-yearly in October and April. These audits will be conducted by the Vice-president,Secretary and one Chamber member.
SECTION 2: The fiscal year will end on the 31st day in December.
ARTICLE 8: -AMENDMENTS
SECTION1: Any member may propose amendments to these bylaws. Proposals for amendments will be forwarded to the Board for consideration.
SECTION 2: These Bylaws may be amended by a three-fourth vote of the Board of directors.
